This Sauce Labs JetBrains Marketplace EULA (the “EULA”) is entered into between You and Sauce Labs Inc (“Sauce Labs,” “we,” or “Developer”) and governs Your use of any Plugin made available by Sauce Labs on the JetBrains Marketplace, whether now existing or subsequently made available (each a “Plugin”). If any Plugin-specific terms are provided via any separate addendum or Marketplace listing page for a particular Plugin, those terms supplement and control over this EULA to the extent of any conflict.
1. Definitions
"Developer" means Sauce Labs Inc.
"Documentation" means the latest versions of all online technical documentation available for a Plugin on JetBrains Marketplace and any other relevant Plugin documentation provided either by JetBrains or Sauce Labs that applies to the Plugin.
"JetBrains" means JetBrains s.r.o., which has its registered office at Na Hřebenech II 1718/8, Prague, 14000, Czech Republic, registered with the Commercial Register kept by the Municipal Court of Prague, Section C, file 86211, ID.Nr.: 265 02 275.
"JetBrains Affiliate" means the subsidiary and/or any associated companies of JetBrains.
"JetBrains Marketplace" means any platform operated by JetBrains or a JetBrains Affiliate on which JetBrains or JetBrains Affiliate markets Plugins for JetBrains Products, including the website https://plugins.jetbrains.com and/or any other website or other platform, whether named JetBrains Marketplace, JetBrains Plugins Repository, or otherwise.
"JetBrains Product" means any software program or service made available by JetBrains.
"Plugin" has the meaning set forth in the preamble to this EULA.
"Plugin Users" means users that are able to access and use the Plugin concurrently.
"Plugin Version" means a release, update, or upgrade of a particular Plugin that is not identified by Sauce Labs as being made for the purpose of fixing software bugs.
“Sauce Labs Service Agreement” means Your applicable Sauce Labs order form or service agreement.
“Third Party Components” means third-party software components, including open-source software, which are incorporated into the Plugin and subject to their own license terms.
"You" means an individual or an entity concluding this EULA.
2. Grant of License; Duration
2.1. License. Sauce Labs hereby grants You a limited, worldwide, non-exclusive, non-transferable license to use the Plugin You have downloaded through the JetBrains Marketplace (including any generally available updates and upgrades released during Your rightful use of the Plugin) as long as the use is in line with the Documentation, the Sauce Labs Acceptable Use Policy (www., and the limits set out in this EULA. The license granted under this EULA commences on the date You first install or activate the Plugin and continues for so long as You maintain an active subscription to the Sauce Labs service(s) with which the Plugin is designed to operate, as set forth in Your Sauce Labs Service Agreement. Upon expiration or termination of Your Sauce Labs Service Agreement for any reason, Your license to use the Plugin terminates automatically and simultaneously, without further notice or action by Sauce Labs.
Under this EULA You may:
(a) install the Plugin;
(b) use the Plugin subject to the limits described in this EULA (if any); and
(c) make backup copies of the Plugin for archival purposes.
2.2. Restrictions. You may not modify, reverse-engineer, decompile, or disassemble the Plugin in whole or in part, or create any derivative works from the Plugin, or sublicense any rights to the Plugin, unless otherwise expressly authorized in writing by Sauce Labs.
2.3. Conflicts. In the event of any conflict between this EULA and Your Sauce Labs Service Agreement, the Sauce Labs Service Agreement shall control.
2.4 Your Obligations Following Expiration or Termination of this EULA. Promptly following the expiration or termination of this EULA, You are required to uninstall and cease using the Plugin and to destroy or delete any copies of the Plugin. Your license hereunder does not include any fallback, perpetual, or post-termination license to the Plugin.
3. Intellectual Property
The Plugin is protected by copyright and other intellectual property laws and treaties. Sauce Labs or its licensors own all title, copyright, and other intellectual property rights to the Plugin.
4. Third-Party Components
The Plugin may include or be distributed with Third Party Components. A list of Third-Party Components included in the Plugin, together with the applicable license terms and any required attribution notices, copyright notices, and source code availability information, is available at https://docs.saucelabs.com/basics/integrations-overview (“Notices”). Your use of Third-Party Components is governed solely by the applicable Third-Party license terms, and not by this EULA.
Sauce Labs complies with the license requirements of all Third-Party Components incorporated in the Plugin. Where required by applicable open-source license terms, copyright notices and attribution statements are included in the Third-Party Notices referenced above, and source code is made available in the manner required by those terms.
To the extent any Third-Party Component license terms impose obligations on You as an end user, You are solely responsible for compliance with those terms. Nothing in this EULA limits or supersedes any rights You may have, or obligations You may be subject to, under applicable Third-Party Component license terms.
5. Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW,ALL PLUGINS ARE PROVIDED TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES. YOUR USE OF PLUGINS IS AT YOUR OWN RISK. SAUCE LABS PROVIDES NO WARRANTY AS TO THE PLUGIN’S USE OR PERFORMANCE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAUCE LABS DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE PLUGIN, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. SAUCE LABS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THIRD-PARTY COMPONENTS, INCLUDING WITHOUT LIMITATION AS TO THEIR ACCURACY, RELIABILITY, SECURITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. WARRANTIES, IF ANY, WITH RESPECT TO THIRD-PARTY COMPONENTS ARE PROVIDED BY THEIR RESPECTIVE LICENSORS UNDER THE APPLICABLE THIRD-PARTY LICENSE TERMS. SAUCE LABS DOES NOT WARRANT THAT THE PLUGIN IS ACCURATE, RELIABLE, OR CORRECT; THAT THE PLUGIN MEETS YOUR REQUIREMENTS; THAT THE PLUGIN WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED, OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE PLUGIN IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EXCEPT AS REQUIRED BY APPLICABLE LAWS, ANY UPDATES AND UPGRADES TO THE PLUGIN WILL ONLY BE PROVIDED ON AN “AS AVAILABLE” BASIS, I.E., AT SAUCE LABS’ SOLE DISCRETION.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAUCE LABS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, RELIANCE OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) ASSOCIATED WITH THE USE OF THE PLUGIN.
IN NO EVENT WILL SAUCE LABS’ AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE PLUGIN EXCEED $100 USD. THIS LIMITATION WILL APPLY EVEN IF SAUCE LABS HAS BEEN ADVISED OF THE POSSIBILITY OF THE LIABILITY EXCEEDING THE AMOUNT AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
SAUCE LABS SHALL HAVE NO LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF ANY THIRD-PARTY COMPONENTS. ANY CLAIM RELATING TO THIRD-PARTY COMPONENTS MUST BE DIRECTED TO THE APPLICABLE THIRD-PARTY LICENSOR.
JETBRAINS’ LIABILITY IS EXCLUDED IN ITS ENTIRETY AS JETBRAINS IS NOT A PARTY TO THIS EULA.
7. Additional Terms for EEA Consumers
7.1 Scope and Applicability. The Plugin is intended solely for use in connection with Sauce Labs’ services, which are provided for business, commercial, and organizational purposes only. If You are a consumer resident in the European Economic Area – that is, a natural person acting for purposes outside Your trade, business, craft, or profession – the following additional terms apply to Your use of the Plugin:
7.2 Trader Identity. The Plugin is made available by Sauce Labs Inc with a registered address at 450 Sansome Street, 9th Floor, San Francisco, CA 94111. Sauce Labs is the trader with respect to this EULA within the meaning of Directive 2011/83/EU and applicable EEA consumer protection laws. Sauce Labs may be contacted at [support email address].
7.3 Main Characteristics and Price. A description of the Plugin’s main functionality is set out on the Sauce Labs Plugin listing page on the JetBrains Marketplace prior to installation. The Plugin is provided at no charge. Your use of the Plugin is subject to Your maintaining an active subscription to the applicable Sauce Labs service, as further described in Section 2 of this EULA.
7.4 Right of Withdrawal – Digital Content Waiver. If You are an EEA consumer, You have the right to withdraw from this EULA within 14 days of its conclusion, without giving any reason, in accordance with applicable EEA consumer protection laws implementing Directive 2011/83/EU.
The Plugin constitutes digital content not supplied on a tangible medium. By proceeding with installation or activation of the Plugin, You expressly request that performance begin immediately and You acknowledge that You will thereby lose Your right of withdrawal once the Plugin has been made available to You and performance has begun, in accordance with Article 16(m) of Directive 2011/83/EU as implemented in Your jurisdiction.
If You do not wish to waive Your right of withdrawal, do not install or activate the Plugin before the 14-day withdrawal period has elapsed.
7.5 Complaint Handling. Complaints regarding the Plugin may be submitted to Sauce Labs at support.saucelabs.com or saucelabs.com/contact-us. Sauce Labs will endeavor to acknowledge complaints within 3 business days and to resolve them within a reasonable time.
7.6 Online Dispute Resolution. Sauce Labs is not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration board. EEA consumers may have access to out-of-court dispute resolution mechanisms under applicable national law. Information about available dispute resolution options in Your jurisdiction may be obtained from Your national consumer protection authority.
7.7 Mandatory Consumer Rights Preserved. Nothing in this EULA limits or excludes any rights You may have as a consumer under applicable mandatory EEA consumer protection laws that cannot be excluded or limited by contract. To the extent any provision of this EULA conflicts with such mandatory rights, the applicable mandatory law shall prevail to the extent of that conflict.
8. Miscellaneous.
8.1 Choice of Law. This EULA shall be governed by the laws of the State of California without regard to the United Nations Convention on the International Sale of Goods.
8.2 Amendments and Modifications. Sauce Labs may supplement, amend, or otherwise modify this EULA at any time by providing you with at least ten (10) days notice thereof, which may be provided electronically via notice within the Plugin interface or such other means as Sauce Labs may designate. Your continued use of the Plugin following the effective date of any modification constitutes Your acceptance of the modified EULA. If You do not agree to the modification, You must cease using the Plugin prior to the effective date of such modification.
8.3 Entire Agreement. This EULA constitutes the entire agreement between You and Sauce Labs with regard to the subject matter hereof.
